ERSTE BANK HUNGARY Zrt. (registered seat: 1138 Budapest, Népfürdő u. 24-26., company registration number: 01-10-041054, hereinafter referred to as the "Bank"), with reference to the provision of Article 123 (1) d) of Act CXXXVIII of 2007 on investment firms and commodity exchange service providers and the rules of activities they may perform (hereinafter referred to as the "Act") and other regulations, hereby announces that, pursuant to the agreement signed on the 7th of December, 2023 between Erste Group Bank AG and the European Bank for Reconstruction and Development (EBRD) on the acquisition of a minority stake in the Company, Erste Group Bank AG purchased 15% stake in the Company held by EBRD on 11th of December 2023, thereby becoming the sole, 100% shareholder of the Company.

At the same time, Michael Neumayr's mandate as external member the Board of Directors, and Aleksandra Gren's mandate as member of the Supervisory Board has ended due to their resignation on the 11th of December 2023.

This information will be published simultaneously in Hungarian, in case of discrepancy between the information included in the Hungarian and English versions, the information in English shall prevail.
